How is a US LLC taxed for a Kenyan founder?
Kenya does not appear on the IRS index of countries with a US income tax treaty in force. That single absence changes more than most formation sites acknowledge, and it is the reason this page exists.
Where Kenya stands
Verified July 28, 2026
Kenya is absent from the IRS index of United States income tax treaties in force. No reduced withholding on US-source payments, and no residency tie-breaker if both countries claim you.
Kenyan residents may transact in foreign exchange through authorised dealers. Amounts up to the equivalent of USD 10,000 are unrestricted; above that you produce documentation showing the purpose.
We found no authoritative source stating whether a Kenyan resident must declare ownership of a foreign LLC. Read that as unknown, not as 'nothing to file'.
A foreign-owned single-member US LLC generally must file Form 5472 with a pro-forma Form 1120 each year, whether or not it owes any US tax.
Provider country policies change without public notice — Mercury revised its prohibited list in 2024 and has amended it since. Treat this page as a starting point that was accurate on the date shown, then check the provider's own page before you apply. We would rather you verify us than trust us on something this consequential.
No treaty is a real disadvantage, not a technicality
Treaties do two useful things: they cut withholding on certain US-source payments, and they settle which country gets to tax you when both claim you as resident. Kenya has neither arrangement with the United States. A Kenyan founder is therefore in a different position from a founder in, say, Egypt or the Philippines, and advice written for treaty countries does not carry across. If you have read a guide that leans on treaty benefits, it was not written for you.
Form 5472 is the obligation founders most often miss
A foreign-owned single-member US LLC is generally required to file Form 5472 alongside a pro-forma Form 1120, reporting transactions between the company and its foreign owner. It applies even in a year with no profit and no US tax due. The IRS instructions set the penalty at $25,000, with a further $25,000 for each 30-day period the failure continues once 90 days have passed since the IRS notified you. These forms also cannot be filed electronically — they go by mail or fax to the IRS service centre in Ogden, Utah. This is the least appealing part of the pitch, which is why you rarely see it on a pricing page.
The USD 10,000 threshold is about friction, not permission
Kenya's foreign-exchange rules let residents buy and sell foreign currency through authorised dealers, with documentation required above the equivalent of USD 10,000. That is a documentation threshold rather than a prohibition — it does not stop you owning a US company, but it does mean money moving between your LLC and your Kenyan accounts is visible and occasionally slow. Plan for the paperwork rather than being surprised by it.
What we will not do
We will not tell you whether a US LLC lowers your tax bill. That depends on facts we cannot see and on Kenya Revenue Authority rules we are not qualified to interpret. Any formation service that promises tax savings without looking at your situation is selling something it cannot deliver.
Worth knowing before you buy
This page describes the structural position, not yours. RazorFile files companies; we are not accountants, tax advisers or a law firm, and nothing here is tax advice. The absence of a treaty is exactly the situation where paid cross-border advice pays for itself — usually many times over.
Common questions
Does a US LLC mean I stop paying tax in Kenya?
No, and you should be suspicious of anyone who implies it does. Where you are tax resident generally governs what you owe, and forming a company abroad does not by itself change your own residency. Speak to a Kenyan tax adviser about how foreign company income is treated in your hands.
What does it cost me that Kenya has no US tax treaty?
Two things. Certain US-source payments to you may be withheld at the statutory rate rather than a reduced treaty rate. And if both countries treat you as resident, there is no tie-breaker article to resolve it — you rely on each country's domestic rules and on any foreign tax credit available to you.
Do I have to file anything in the US if the LLC made no money?
Generally yes. The Form 5472 and pro-forma 1120 requirement for a foreign-owned single-member LLC is triggered by reportable transactions, not by profit — and funding the company or paying its fees can itself be reportable. With a $25,000 opening penalty, treat a dormant year as a filing year until your accountant tells you otherwise.
Can RazorFile file my US tax return?
No. We form the company, obtain the EIN and keep the registered agent and state filings in order. Tax returns, including Form 5472, are work for a qualified accountant, and we would rather point you to one than pretend otherwise.
