Worth knowing before you choose

Three costs sit outside the filing fee. First, the Department of Revenue states that virtually all Washington businesses, including LLCs, are subject to the Business & Occupation tax — a tax on gross receipts with no deduction for costs, so it is payable in a loss-making year. Rates run roughly 0.471% on retailing, 0.484% on wholesaling and manufacturing, and about 1.5% to 1.75% on services; there is no minimum, and a Small Business Credit zeroes out low liabilities. Registration is triggered at $12,000 of gross income in-state, or $100,000 of Washington receipts for out-of-state businesses. Second, the Business License Application is separate from formation: $50 for a new business's first location, $5 to renew annually, plus city and county endorsements. Third, an initial report is due within 120 days of formation, ahead of your first annual report. The $180 figure above is the statutory fee; filing online adds a processing charge that commonly brings it to $200.

Washington has no income tax — so what is the B&O tax?

A tax on gross receipts rather than profit. The Department of Revenue says virtually all businesses formed in Washington, LLCs included, are subject to it.
