Terms of Service

1. Service description
RazorFile provides software and operations support for US company formation workflows. Our services include LLC formation filing assistance, Registered Agent services, EIN application guidance, Operating Agreement templates, and related document preparation. RazorFile is not a law firm and does not provide legal advice, tax advice, or legal representation. Nothing on this site or provided through our service constitutes legal or tax advice.
2. Eligibility
You must be at least 18 years old to use RazorFile. By using our service, you represent that you have the legal capacity to enter into binding agreements. RazorFile is available to founders worldwide. You are responsible for ensuring that forming a US LLC is lawful in your country of residence.
3. Service fees and government filing fees
RazorFile charges a one-time service fee for each package (FILE, LAUNCH, AUTOPILOT). Government filing fees (state fees) are paid directly to the relevant state government and are passed through with zero markup. State fees are non-refundable once the filing has been submitted to the state. RazorFile's service fee is the only fee we earn.
4. Refund policy
You may cancel your order and receive a full refund of RazorFile's service fee if your cancellation request is made before your LLC documents have been submitted to the state. Once we have submitted your formation documents to the state, no refund is available for the service fee. Government filing fees paid to the state are non-refundable in all circumstances. To request a refund, contact hello@razorfile.com with your order reference number.
5. Order processing
We aim to submit your formation documents to your chosen state within 1 business day of receiving your completed order. Processing times thereafter are determined by each state government and are outside our control. Estimated timelines provided are based on typical state processing speeds and are not guaranteed. We will notify you by email at each stage of your order.
6. Annual renewal
After your first year, RazorFile charges an annual renewal fee of $149/year to maintain your account, document storage, and support access. State annual report fees (where applicable) are separate government fees. Renewal fees are non-refundable once the renewal period has commenced. You may cancel your RazorFile account at any time — cancellation takes effect at the end of the current annual period.
7. Accuracy of information
You are responsible for providing accurate, complete, and truthful information during the formation process. RazorFile is not liable for errors in formation documents caused by inaccurate information provided by you. If errors are identified after filing, correction filings may incur additional state fees.
8. Limitation of liability
RazorFile's total liability to you for any claims arising from your use of our service is limited to the amount you paid for the service giving rise to the claim. RazorFile is not liable for indirect, incidental, consequential, or punitive damages of any kind, including lost profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.
9. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or, where arbitration is not permitted, in the state or federal courts located in Wyoming.
10. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of RazorFile after changes become effective constitutes acceptance of the revised Terms.
