Do content creators need a US LLC?

Forming an LLC to reduce withholding, and achieving nothing

This is the pitch that circulates most and holds up least. US withholding on US-source income is governed by the income tax treaty between the United States and the country where the recipient is tax resident. Forming a Wyoming LLC does not make you a US tax resident and does not change which treaty applies to you. If you live in Kenya or Nigeria, both of which are absent from the IRS treaty index, an LLC does not conjure a treaty into existence. Meanwhile the LLC brings a real new obligation with it: Form 5472 with a pro-forma Form 1120, generally required even in a zero-revenue year, with a penalty starting at $25,000. Form the LLC for contracting and payment reasons, which are genuine — not for a withholding benefit it cannot deliver.

What sponsors actually want

Brand deals above a certain size go through the sponsor's procurement or legal process, and those processes are built to contract with companies. An individual creator can absolutely sign, but the paperwork is slower and some sponsors' systems handle it poorly. Having an entity with an EIN that can sign an agreement and submit a W-9 removes friction at exactly the point where a deal can stall.

The Form 5472 obligation is real and unglamorous

A foreign-owned single-member US LLC generally has to file Form 5472 alongside a pro-forma Form 1120 each year, reporting transactions with its foreign owner. Funding the company or paying its fees can itself be reportable, so a quiet year is usually still a filing year. The IRS sets the penalty at $25,000, rising by a further $25,000 per 30-day period after 90 days from notice, and these forms cannot be e-filed. Budget for an accountant.

Where the structure genuinely helps

Separating the business from your personal name, holding revenue in USD, presenting a company to sponsors, and having a clean entity to attach contracts and licences to. Those are real, and for a creator earning meaningfully from US brands they add up. They are just a different set of benefits from the tax story usually attached to them.

Will a US LLC reduce YouTube's withholding on my earnings?

Generally no. Withholding on US-source income follows the tax treaty between the US and where you are tax resident, and forming a US company does not change your residence. If your country has no US treaty — Kenya and Nigeria do not appear on the IRS index — an LLC does not create one.

Do sponsors require me to have a company?
