LLC for Shopify

Do Shopify sellers need a US LLC?

If you want Shopify Payments in the United States, you need a US business with an EIN — Shopify Payments is Stripe underneath, and follows Stripe's requirements. That is the clear part. Sales tax is the part that is not.

What's included

  • A US entity with an EIN, which is what Shopify Payments' US onboarding requires
  • Settlement in USD rather than conversion by a local processor
  • A US business identity for supplier accounts and customer-facing pages

What's not included

  • Sales tax registration, collection or filing, which follow your customers rather than your entity
  • Approval by Shopify or Stripe, both of which underwrite accounts individually
  • Customs and import compliance on physical goods

Solving payments and ignoring sales tax until a state notices

Shopify will happily calculate sales tax for you, which creates a false sense that the obligation is handled. Calculation is not registration and it is not filing. US states impose economic nexus based on your sales into each state, with thresholds each state sets for itself, and crossing one creates a duty to register and file there — regardless of the fact that your LLC is in Wyoming. A store selling well across many states can accumulate obligations in many states within a single year. Formation services rarely raise this because it turns a one-off purchase into an ongoing accounting relationship. Get a sales tax service or an accountant involved when volume becomes real, not when a notice arrives.

Why Shopify Payments specifically needs the entity

Shopify Payments is not a separate processor Shopify built; in the US it runs on Stripe. That means it inherits Stripe's requirement for a US business with an EIN. Founders sometimes assume Shopify is more permissive than Stripe because it is a different brand at the checkout — it is the same underwriting underneath, and the same country rules apply.

The cost of not using Shopify Payments

You can use a third-party gateway instead, and some sellers do. Shopify applies an additional transaction fee when you do, on top of whatever the gateway charges. For a store with meaningful volume that difference compounds quickly, and it is usually the arithmetic that decides whether the US entity is worth forming at all — compare the annual cost of the LLC against a year of the extra fee before deciding.

What the structure genuinely delivers for a founder abroad

If you are in Pakistan, Nigeria, Vietnam or Bangladesh, local processors either cannot serve international card volume or settle only in local currency. A US LLC with an EIN opens Shopify Payments and Stripe proper, which is normally the entire point. That much it delivers. It does not change your tax residence, and it does not touch the sales tax question above.

Worth knowing

Nothing here is tax advice, and US sales tax in particular is a specialist area where errors compound quietly. RazorFile files companies; we do not register you for sales tax or file returns. Approval by Shopify or Stripe is theirs to decide and no formation service can promise it.

Common questions

Can I use Shopify Payments without a US LLC?

Shopify Payments is available in a number of countries, so it depends where you are. If your country is not supported, the US route needs a US business with an EIN, because Shopify Payments runs on Stripe there and follows Stripe's requirements.

Does forming in Wyoming reduce my sales tax?

No. Sales tax obligations follow economic nexus in the states you sell into, based on your sales there. The state of formation is irrelevant to that test. This is the most expensive misunderstanding in e-commerce and it is worth being clear about before you scale.

Is it cheaper to use a third-party gateway instead?

Rarely, once volume is real. Shopify adds a transaction fee when you do not use Shopify Payments, and that sits on top of the gateway's own rate. Work out a year of that extra fee at your current volume and compare it against the LLC's annual cost — the answer is usually obvious once written down.

Will Shopify approve my store?

That is Shopify's and Stripe's decision, and product category matters. A correctly formed US entity with an EIN is what onboarding asks for; realistic shipping timelines and clear policies are what keep the account open afterwards.
