Why founders choose Colorado
At $50, Colorado's Articles of Organization fee is half Wyoming's and a sixth of Texas's. Combined with the $25 Periodic Report, it is the least expensive state on this site to both start and maintain — roughly $75 in state charges across your first full year.
Colorado accepts business filings online only, and the system posts them immediately rather than queueing them for examiner review. Where North Carolina quotes 15 to 20 business days, Colorado is effectively same-session. If the timeline matters more than the state's reputation, this is the practical answer.
The Periodic Report is due by the last day of the second month following your anniversary month, and Colorado allows a five-month penalty-free window — two months either side. Miss it and the late fee is $50, which is survivable rather than punitive.

Colorado raised the Periodic Report fee from $10 to $25 on 1 July 2024, so guides published before then understate the ongoing cost — including, until recently, our own pricing table. Colorado also offers none of the owner-privacy protections Wyoming and Nevada are known for: member and manager information filed with the state is part of the public record.
