Choose Wyoming if
You have no physical connection to Florida and want the cheapest credible state to hold a company in. Over three years Wyoming costs $280 in state charges against Florida's $542, and it keeps member names off the public filing. For a founder outside the US with no US presence, this is the straightforward answer.
Choose Florida if
Your business is genuinely in Florida — property, employees, customers, a storefront. Forming where you operate avoids a foreign registration, and the extra $79 a year is trivial next to running two filings. Florida's large population of international founders and its established service economy also mean local professional support is easy to find.
The $400 late fee is the sharpest edge here
Florida's annual report is due 1 May, and filing late adds a $400 penalty — more than the first three years of Wyoming's report fees combined. It is not prorated and it is not commonly waived. If you are the kind of founder who has missed a renewal before, that single number should weigh more heavily than the $14 difference in filing fee.
Neither state taxes income, and neither of them saves you tax
The absence of state income tax in both is real but frequently oversold. If you operate in a third state, that state's rules apply to you regardless. And if you are outside the US, your tax position is governed by where you are resident, not by which US state issued the certificate. The no-income-tax point differentiates these two states from California, not from each other.
Privacy is the one genuine structural difference
Wyoming does not require member or manager names in the Articles of Organization. Florida's annual report puts management information on the public record. If a searchable link between you and the company matters — and for some founders it genuinely does — that is the deciding factor, and it is the only one on this page that money cannot equalise.

Common questions
Is Florida worth $79 more a year than Wyoming?
Only if you are in Florida. With a real Florida presence, forming there avoids registering an out-of-state LLC as a foreign entity, which costs more than the difference. With no Florida connection, you are paying more for less privacy.
Do both states really have no income tax?
Neither levies a personal state income tax, correct. That does not reduce your federal obligations, and it does not affect tax in the country where you live. It is a genuine point of similarity between the two, not a saving that either one delivers over the other.
What happens if I miss Florida's annual report?
