LLC for dropshipping

Do dropshippers need a US LLC?

The honest answer is that it solves your payment problem and creates a compliance one. Stripe and most US suppliers want a US entity; US sales tax wants to know where your customers are. Both are true at once.

The essentials

What's included

  • A US entity with an EIN, which is what Stripe's US onboarding and most supplier trade accounts ask for
  • The ability to hold and settle revenue in USD rather than converting at your local processor's rate
  • A recognisable US counterparty for supplier contracts and resale certificate applications

What's not included

  • Any relief from US sales tax obligations, which follow your customers rather than your entity
  • Customs, duty or import compliance on the goods themselves
  • Approval by Stripe or Shopify Payments, who underwrite dropshipping accounts more sceptically than most categories

Assuming the LLC settles the sales tax question

It does not, and this is the single most expensive misunderstanding in this category. US states impose economic nexus based on your sales into that state — a volume or revenue threshold that has nothing to do with where your LLC was formed. A Wyoming LLC shipping to customers in twenty states can accumulate obligations in twenty states. Formation services rarely mention this because it is the part that turns a $249 purchase into an ongoing accounting relationship. Budget for a sales tax service or an accountant from the point you have real volume, not after a state writes to you.

Why suppliers ask for the entity

US wholesalers and print-on-demand partners generally open trade accounts to businesses rather than individuals, and they verify with an EIN. For many dropshippers this is the actual blocker rather than payments — the store works, but the supplier you want will not open an account. The LLC and EIN resolve that in a way no amount of explaining your situation will.

Stripe underwrites this category carefully

Dropshipping carries higher chargeback rates than most retail, because customers dispute delivery times they did not expect. Stripe knows this and reviews these accounts more sceptically. Having a correctly formed US entity with an EIN is necessary; it is not sufficient, and no formation service can promise the outcome. Clear delivery timelines on your store do more for approval than the entity does.

Where a founder outside the US actually stands

If you are in Pakistan, Nigeria or Vietnam, local processors either cannot serve international card volume or settle in local currency. A US LLC with an EIN opens Stripe proper, which is usually the whole reason for the exercise. That much the structure genuinely delivers. What it does not do is change where you are tax resident, which stays where you live.

Worth knowing

This page describes what the structure does. It is not tax advice, and sales tax in particular is a specialist area where the cost of getting it wrong grows quietly for years before anyone notices. RazorFile files companies; we do not register you for sales tax or file returns, and we would rather point you to someone who does.

Common questions

Do I need a US LLC to dropship?

Not always. If your local processor handles your card volume and your suppliers open accounts to individuals, you may not need one. The LLC becomes necessary when Stripe is the gap — which for founders in most of the countries we serve, it is.

Does a Wyoming LLC mean I avoid US sales tax?

No. Sales tax obligations are triggered by economic nexus in the states you sell into, based on your sales there. Where you formed the company is irrelevant to that test. This is the most common and most costly misunderstanding in dropshipping.

Will Stripe approve a dropshipping store?

Sometimes. Stripe reviews the category carefully because of chargeback rates, and can decline or later close an account. A correctly formed US entity with an EIN is what they ask for at signup; realistic shipping times and clear policies on your site matter as much for staying approved.

Which state should a dropshipper form in?

Wyoming, in most cases — $100 to file, $60 a year, and no owner names in the public filing. There is no state that reduces your sales tax exposure, so choosing on maintenance cost is the rational basis.
