Do SaaS founders need a US LLC?

If you are outside the US, usually the answer comes down to one thing: Stripe Billing. Subscriptions, proration, dunning and tax handling are what a pricing page runs on, and most local processors do not offer them.

Building the billing system before checking you can be paid through it

The pattern we see repeatedly: a founder builds subscription logic against Stripe's API in a sandbox, gets the product working, then discovers at launch that Stripe does not support businesses incorporated in their country. Nigeria, Pakistan, Vietnam, Turkey, Egypt and Argentina are all in that position, and India and Indonesia are preview-only. It is Billing, not card acceptance, that forces this

Local processors in most markets handle card acceptance competently. What they generally do not offer is a subscription engine — recurring charges, plan changes with proration, failed-payment retries, and tax calculation. Rebuilding that yourself is months of work that has nothing to do with your product, which is why the entity question usually resolves in favour of a US LLC for SaaS specifically.

Wyoming over Delaware unless you are raising

Delaware's advantages are investor familiarity and case law, and they attach mainly to C-Corps. If you are bootstrapping a SaaS product, Wyoming costs $100 to file and $60 a year against Delaware's $110 and $300 flat annual tax. Over three years that is $280 against $1,010 for a structure most bootstrapped founders will never need the benefits of.

The banking step is separate and sometimes harder

Getting Stripe working does not guarantee somewhere to send the money. Mercury excludes founders living in Nigeria, Pakistan, Bangladesh, Indonesia, Vietnam, Nepal and the Philippines. Relay accepts several of those. Check the banking page for your country before assuming the whole path is clear.

Worth knowing

A US LLC solves a payments and credibility problem. It does not change where you are tax resident, and depending on your country it may bring reporting obligations at home — SBP permission in Pakistan, FEMA in India, outbound investment registration in Vietnam. Read your country page before you form.

Common questions

Will a US LLC get me Stripe?

It meets Stripe's requirement for a US business entity with an EIN, which is what makes an account possible. Stripe underwrites each application and can decline. Treat the LLC as removing the country-level blocker rather than guaranteeing an account.

Wyoming or Delaware for a SaaS company?

Wyoming unless you are raising US venture capital. Delaware's reputation rests on the Court of Chancery and on investors expecting Delaware C-Corps — neither transfers to a Delaware LLC held by a solo founder abroad, and Delaware costs $240 a year more.

Do I still pay tax at home?

Almost certainly. Most countries tax residents on worldwide income, and forming a company elsewhere does not change your personal residence. Several countries also require reporting of the foreign holding. This is a question for an accountant in your country, not for us.
