Should a freelancer form a US LLC?

It depends almost entirely on who pays you. If your clients are US companies with procurement processes, it removes real friction. If you work through marketplaces that already handle payouts, it may be overhead you do not need.

Forming one before you have the clients to justify it

The recurring cost is roughly $209 a year plus whatever bookkeeping you end up needing. Founders who form speculatively — before landing US clients, to look established — often end up with a dormant company that still owes an annual report, still needs a registered agent, and still generally requires a Form 5472 filing. If your revenue is not yet US-denominated, waiting costs you nothing.

When it genuinely helps

US companies with procurement departments find international individual contractors awkward: vendor onboarding, international wires, and W-8BEN paperwork. Being a US entity with an EIN and a US bank account collapses that into a normal domestic vendor setup. If you are losing deals or waiting weeks for payment because of this, the $209 a year is easily justified.

When it probably does not

If you work through Upwork, Toptal or similar, the platform already handles payment rails and the client never sees your entity. If your clients are in Europe or your home region, a US LLC adds cost without solving anything. We would rather tell you that than sell you a company you do not need.

Worth knowing

A dormant US LLC is not free. It carries an annual report, a registered agent requirement, and generally a Form 5472 filing obligation even in a year with no income. Form one when the client situation justifies it, not in anticipation.

Common questions

Is a US LLC worth it for a freelancer?

If US clients are asking you to be a US vendor, or international payment friction is costing you work, yes. If your payments already arrive fine and no client has raised it, probably not — the recurring cost is around $209 a year plus filing obligations that apply even when dormant.

Will it reduce my tax?

Not by itself, and be sceptical of anyone claiming otherwise. Most countries tax residents on worldwide income, and forming a company abroad does not change where you live. Several countries additionally require you to report the foreign holding.

Do I still file US paperwork if I earn nothing?

Generally yes. A foreign-owned single-member LLC is typically required to file Form 5472 with a pro-forma Form 1120 even in a year with no activity, and the state annual report is due regardless. Dormancy does not suspend the obligations.
