Vietnamese law requires domestic settlement in dong

Under the Ordinance on Foreign Exchange and Circular 32/2013, transactions, pricing, quotations and contracts within Vietnam generally may not be denominated in foreign currency, with a narrow list of exceptions. Decree 52/2024 defines e-money as value in Vietnamese dong only. Gateways like OnePay and VNPay can acquire international cards, but the merchant is settled in dong through an onshore bank.

Stripe does not support Vietnamese businesses

Vietnam does not appear among the countries where Stripe supports businesses. For a founder building SaaS or selling subscriptions internationally, that removes the default billing stack before the product is even finished.

Paying for a foreign company is not a permitted one-way transfer

Circular 20/2022 lists the purposes for which individuals may buy and transfer foreign currency abroad — study, medical treatment, business travel, tourism, supporting relatives, inheritance, emigration. Investing in a foreign company is not among them. Capital transfers run through the separate outbound investment regime, which is a different process with its own registration.

There is no US–Vietnam tax treaty in force

A treaty was signed in 2015 but was never ratified, and Vietnam is absent from the IRS list of treaties in force. In practice that means no reduced withholding and no residency tie-breaker to rely on — a real consideration when structuring where income lands.

The outbound investment path got materially simpler in 2026

Decree 103/2026, effective 3 April 2026, exempts outbound projects below VND 7 billion in non-conditional sectors from needing an Offshore Investment Registration Certificate — bank foreign-exchange registration and a declaration on the national system are enough. It also expressly covers individuals holding Vietnamese nationality. That is a genuine liberalisation, and it is recent enough that most guidance online predates it.

Wyoming charges $100 to file Articles of Organization and $60 a year for the annual report (or $0.0002 per dollar of Wyoming-based assets, whichever is greater), with no state income tax.

Vietnam has a large and fast-growing software export sector selling into the US, Japan and Europe, and the constraint founders hit is structural rather than commercial: the law requires domestic settlement in dong, the international payment stack their customers expect is unavailable to a Vietnamese entity, and the route to holding a foreign company runs through an outbound investment regime that until recently was heavy for a small company. The 2026 reforms changed the last of those meaningfully.

Can a Vietnamese resident legally own a US LLC?

Yes, through Vietnam's outbound investment regime — this is regulated rather than prohibited. Since Decree 103/2026 took effect on 3 April 2026, projects under VND 7 billion in non-conditional sectors are exempt from the Offshore Investment Registration Certificate and require only bank foreign-exchange registration plus a declaration on the national overseas investment system. Above that threshold, or in conditional sectors, a certificate is still required. The issuing authority is now the Ministry of Finance, following the merger of the Ministry of Planning and Investment into it in 2025.

What happens if I skip the registration?

Decree 340/2025 sets administrative penalties for outbound investment non-compliance. We are not going to tell you how strictly this is enforced, because we do not have reliable data on that and neither does anyone else publishing on this topic. What we will say is that the compliant path exists, it became lighter in 2026, and it is worth doing properly with a Vietnamese adviser rather than hoping the question never comes up.

Which US banks accept Vietnamese founders?

As of July 2026: Mercury lists Vietnam among the countries it cannot open accounts for founders living in. Wise does not support Vietnamese residents holding money. Relay does not list Vietnam as prohibited and accepts US entities with owners based outside the US, though approval remains at its discretion. Payoneer supports Vietnam. These lists change without notice — check the provider's own page before relying on this.

Will a US LLC give me a Stripe account?

A Wyoming LLC with an EIN meets Stripe's US-business requirement, which is what makes an account possible. Stripe underwrites each account individually and can decline, so treat the LLC as removing the structural blocker rather than guaranteeing approval.

How long does formation take?

Wyoming typically processes filings within one to three business days of submission. The EIN follows by fax or mail, since the IRS online tool is unavailable to applicants based outside the US.
