Having a treaty is a genuine advantage

A treaty does two things worth money. It can reduce the rate at which certain US-source payments are withheld, and it provides tie-breaker rules when both countries claim you as a tax resident. Most founders we write these pages for — Nigerian, Kenyan, Pakistani — have neither. Bangladeshi founders do. Whether it helps your particular income depends entirely on what kind of income it is, and that is a question for an accountant with the treaty text open.

A treaty does not remove your Bangladeshi tax

This is the misreading we see most often. A treaty allocates taxing rights between two countries and relieves double taxation; it does not exempt you from the country you live in. If you are tax resident in Bangladesh, forming a company in Wyoming does not change that, and any service implying otherwise is describing evasion rather than structure.

Form 5472 is the obligation founders most often miss

A foreign-owned single-member US LLC generally must file Form 5472 together with a pro-forma Form 1120, reporting transactions with its foreign owner. It bites even in a year with no revenue, because funding the company or paying its fees can itself be a reportable transaction. The IRS instructions set the penalty at $25,000, rising by a further $25,000 for every 30-day period the failure continues after 90 days from IRS notice. The pair cannot be e-filed — they are mailed or faxed to Ogden, Utah. The treaty documents themselves date from 2006 and run to an income tax convention plus a technical explanation.

The question that comes before all of this

Bangladesh Bank's Guidelines for Foreign Exchange Transactions permit what they list, and investing abroad by ordinary residents is not among the chapters. Outward investment has generally been approved narrowly, for established exporting companies, case by case. We could not obtain a first-hand reading of the current circulars and we will not guess at it in either direction. Should I resolve the foreign-exchange question before forming?
