The dong settlement rule is statutory, not a business choice

Under the Ordinance on Foreign Exchange and Circular 32/2013, transactions, pricing, quotations and contracts within Vietnam generally may not be denominated in foreign currency, with a narrow list of exceptions. That is why VNPay and OnePay settle in dong even when they acquire an international card โ€” it is not a limitation they chose.

Funding a foreign company is a separate regulatory channel

Circular 20/2022 lists the purposes for which individuals may transfer currency abroad: study, medical treatment, travel, supporting relatives, inheritance, emigration. Investing in a foreign company is not among them. Capital transfers run through the outbound investment regime, which is why using the wrong channel is the most common mistake here.

The registration burden dropped sharply in 2026

Decree 103/2026, effective 3 April 2026, exempts outbound projects below VND 7 billion in non-conditional sectors from needing an Offshore Investment Registration Certificate โ€” bank foreign-exchange registration and a declaration suffice. It expressly covers individuals holding Vietnamese nationality. Most guidance online predates this and is more pessimistic than the current rules.

Worth knowing before you buy

The compliant path involves registration steps on the Vietnamese side that most formation services never mention, because they happen outside the US filing. Budget for a Vietnamese adviser. Forming the LLC is the easy part; doing it in a way that holds up locally is what is worth paying for.
