How is a US LLC taxed for a Filipino founder?

The Philippines has a US income tax treaty, and the BSP explicitly supports residents' outward investment. On the regulatory side, this is one of the more straightforward markets we cover.

Where the Philippines stands

US–Philippines tax treaty
Accepts

The Philippines appears on the IRS index of countries with a US income tax treaty in force.

Outward investment
Accepts

The BSP foreign exchange manual states the central bank supports residents' legitimate outward investments, with no prior approval needed when funded from own foreign-currency sources.

BSP registration
Accepts

Registration is optional and matters mainly for sourcing foreign currency from Philippine banks later, not for the right to invest.

US filing obligations
Accepts

A foreign-owned single-member LLC generally must file Form 5472 with a pro-forma 1120, whether or not tax is owed.

Provider country policies change without public notice — Mercury revised its prohibited list in 2024 and has amended it since. We would rather you verify us than trust us on something this consequential.

The regulatory position here is unusually open

Compared with Nepal, Morocco or Sri Lanka — where resident outward investment is restricted or suspended — the BSP states plainly that it supports residents' legitimate outward investments, and residents may invest offshore without prior approval when funding from their own foreign-currency sources. That is a materially easier starting point than most of this region.

Registration is optional, and for a specific reason

BSP registration is not a permission gate. It matters if you later want to buy foreign currency from Philippine banks to fund or repatriate the investment. Understanding that distinction saves founders from treating an optional step as a blocker, or from skipping it when they will in fact need it.

The treaty exists; what it does for you is a separate question

The Philippines is on the IRS treaty index. Whether that helps your particular income depends on the type of income, where it is sourced and your residency position. Philippine residents are taxed on worldwide income, so the LLC does not sit outside your domestic position.

Worth knowing before you buy

Filipino founders have an easier regulatory path than most markets we cover — which makes it more tempting to skip advice. RazorFile is not a tax adviser and nothing here is advice. An open regulatory position is not the same as a simple tax position.

Common questions

Do I need BSP approval to form a US LLC?

Generally no. The BSP foreign exchange manual states it supports residents' legitimate outward investments, and residents may invest offshore without prior approval when funded from their own foreign-currency sources. Registration is optional and relevant mainly to sourcing foreign currency from Philippine banks later.

Does the treaty reduce my tax?

It may affect withholding on certain US-source payments and provides residency tie-breaker rules. It does not exempt a Philippine tax resident from Philippine tax on worldwide income. What it delivers in your case needs a Philippine accountant.

What US filings will I have?

A foreign-owned single-member LLC generally must file Form 5472 with a pro-forma Form 1120 reporting transactions with its foreign owner, even when no US tax is due. This is an information return and the penalties for missing it are significant.
