Ghana · Tax position

How is a US LLC taxed for a Ghanaian founder?

Ghana is absent from the IRS treaty index, so there is no treaty framework to fall back on — the same position as Nigeria and Kenya, and different from Egypt or Turkey.

Where Ghana stands

Verified July 28, 2026

US–Ghana tax treaty
Excludes

Ghana does not appear on the IRS index of countries with a US income tax treaty in force.

Ghanaian reporting duty
Unverified

We could not verify from an authoritative source whether a declaration or approval duty attaches to a Ghanaian resident owning a foreign company.

BoG remittance framework
Excludes

Bank of Ghana requires remittance settlement in cedis with same-day conversion at prescribed benchmark rates, and the January 2026 IMTO rules restrict operators to inward person-to-person transfers.

US filing obligations
Accepts

A foreign-owned single-member LLC generally must file Form 5472 with a pro-forma 1120, whether or not tax is owed.

Provider country policies change without public notice — Mercury revised its prohibited list in 2024 and has amended it since. Treat this page as a starting point that was accurate on the date shown, then check the provider's own page before you apply. We would rather you verify us than trust us on something this consequential.

No treaty puts Ghana with Nigeria and Kenya

West and East African markets differ less than founders expect on this point: Ghana, Nigeria and Kenya are all absent from the IRS treaty index. Egypt, by contrast, has a treaty in force. Advice written for treaty countries does not transfer, and there is no reduced withholding or residency tie-breaker to rely on.

The currency rule is a tax-adjacent problem

Bank of Ghana requires remittance settlement in cedis, converted the same day at benchmark rates the central bank prescribes. That is not a tax rule, but it shapes the same decision — where revenue lands and in what currency, before any tax question arises.

What we could not establish

We found no authoritative source on whether a Ghanaian resident has a declaration or approval duty for owning a foreign company. We are not going to publish reassurance we cannot support. Ask a Ghanaian adviser before you form.

Worth knowing before you buy

Two of the four rows here are constraints and one is an admitted unknown. RazorFile is not a tax adviser and nothing here is advice. The absence of a treaty is precisely when paid cross-border advice earns its cost.

Common questions

Is there a US–Ghana tax treaty?

No. Ghana does not appear on the IRS index of countries with a US income tax treaty in force. That affects withholding on US-source income and removes the tie-breaker rules available to founders in treaty countries.

Do I need to declare the LLC in Ghana?

We could not verify this from an authoritative source, so we will not tell you no requirement exists. That is a genuine gap in what we know rather than an implied all-clear. Check with a Ghanaian adviser.

What US filings will I have?

A foreign-owned single-member LLC generally must file Form 5472 with a pro-forma Form 1120 reporting transactions with its foreign owner, even when no US tax is due. The penalties for missing it are substantial and it applies to dormant companies too.
